1. Support of business of foreign companies in Russia.

In the context of the appeared corporate conflict between the owner of the client-company and the manager of Tenzor Consulting Group the necessary changes of the managing staff were undertaken.  Particularly the authorities of some managers were limited; several managers were shelved as a result of the unscheduled general meeting of shareholders.

4. Preparation and legal support of restructuring of the company. 

A corporate client had to check the chosen variant of restructuring (merger). For this purpose Tenzor Consulting Group analyzed the financial reporting within some years, and the legal structure of the company that was planned to merge with; the active assets, risks and obligations, composition and structure of the shareholders. The financial-economic and legal documentation was prepared for restructuring purposes. 

5. Advocacy of the company in case of contestation of the transaction. 

A corporate shareholder controverted the property sale and purchase contract that was signed by the director general on behalf of the joint-stock company. According to the statute the director general did not have authority for such kind of transactions. Tenzor Consulting Group found out that the given transaction was subsequently approved by the management of the joint-stock company that is eligible to conclude such agreements. The transaction was declared to be properly concluded by litigation. 

6. Protection of the share-holder’s rights in case of illegal discard of shares. 

On the grounds of the provided documents the registrator discarded the share-holder’s shares from his personal account.  In order to reestablish the infringed rights of the Client (share-holder) Tenzor Consulting Group carried out the complex analysis of the situation. The proper respondent was determined, the fact of the falsification of the documents was proved. The stock rights of the shareholder were reestablished by litigation. 

7. Optimization of taxation 

With account of the increasing topicality of minimization of tax charges Tenzor Consulting Group prepared a package of offers regarding the optimal distribution of stock assets within the holding structure, recommended privileged regimes of taxation, prepared an appropriate analysis of positions of taxation bodies and the current judicial practice.
